Hikaru Kaieda is a partner belonging to the finance team of TMI Associates. Currently, he focuses his practice on finance transactions and capital markets, as well as international corporate transactions, and regulatory and compliance matters.
Mr. Kaieda has extensive experience in a wide array of finance transactions, including securitization, project finance, euro and domestic bond issuances, exchanges offers and TOBs, M&A finance, investment funds (including REITs), lending and other banking transactions and non-banking lending transactions, derivatives, venture capital and principal investments in Japan, and regulatory and compliance matters. He advises investment banks, securities firms, banks, lenders, trust banks, and other financial institutions, financial advisors, special purpose companies, issuers and venture capitalists on structuring, documenting and negotiating finance transactions, as well as on related regulatory issues. His experience before joining TMI Associates includes working as a foreign attorney at a major law firm in New York, and as senior counsel at a Japanese branch of an international investment banking firm, as well as acting as a bankruptcy administrator.
Mr. Kaieda is fluent in English in addition to his native Japanese. He is admitted to practice law in Japan since 1993, and is a member of the Japan Federation of Bar Associations, and the Daini Tokyo Bar Association. He earned an LL.M. from New York University School of Law in 1996. He has authored articles on topics such as bonds in insolvency, international investment fund offerings, property rights regarding stock indices, and lectures on finance law at a graduate school in Tokyo.
