Rai is a senior member in the New Delhi office and has significant experience in corporate matters, cross-border transactions, dispute resolution and intellectual property protection and enforcement. Rai has represented clients all over India in complex litigation matters from original proceedings to appeals before the Supreme Court of India. He regularly represents clients and advises on laws relating to mergers and acquisition, intellectual property, foreign direct investment, contracts, capital market, finance etc.

Rai’s ongoing representations at Titus & Co. include:

Knorr-Bremse AG – Representation Indian licensee for post-expiry claims under a technology license agreement, in negotiating and buying out shares of Indian Partner Tata Auto Comp Systems Ltd., in negotiating and setting up new joint venture in Indian and in real estate acquisition.

Herbalife International, Inc. – Representation in complex criminal proceedings against the state and in another major litigation concerning classification of Herbalife products and advice on food and labeling laws and corporate issues.

Hard Rock Café – Advise on setting up franchising operations in India and Sri Lanka.

ITOCHU Corporation – Representation in connection with acquisition of Itochu’s rights and interests in automotive business in India, advice on intellectual property issues, representation in disputes with previous joint venture partner and litigation in telecom sector relating to contractual matters.

ABRO Industries, Inc. – Representation in several matters involving intellectual property protection and enforcement.

ARB, Inc. – Representation in a litigation matter against state owned insurance company and the Indian joint venture partner pertaining to assignment of insurance policies and claims

Petronas.- Representation in connection with serious criminal charges against ex-patriate employees in India

Raytheon.- Representation in a major tax dispute with Indian tax authorities in Karnataka High Court and Supreme Court of India including writ petition challenging validity of recent tax laws

Forbo.- Representation in a major dispute with previous Indian affiliate including representation in court proceedings, setting up of new businesses and complex regulatory and FDI issues
